HSxTech – Terms & Conditions

Welcome to HSxTech. These Terms & Conditions (“Terms”) govern your access to and use of our website, products, and services, including software implementation, Odoo ERP services, support, consulting, and any other solutions provided by HSxTech (“Services”).
By using our Services, you agree to these Terms.


1. Definitions

  • Client / You: The individual or entity purchasing or using our Services.

  • HSxTech / We / Us: HSxTech and its authorized representatives.

  • Services: All products, solutions, consulting, development, integrations, and support delivered by HSxTech.

  • Agreement: These Terms together with any proposal, quotation, or contract signed between HSxTech and the Client.


2. Scope of Services

HSxTech provides:

  • Odoo implementation & customization

  • ERP consulting

  • Software development

  • System integrations

  • Cloud hosting & deployment

  • Technical support & maintenance

  • Business process optimization

  • Training and onboarding

Each service engagement is governed by a signed proposal or Statement of Work (SOW) specifying deliverables, timelines, costs, and responsibilities.


3. Client Responsibilities

You agree to:

  1. Provide accurate and complete information required for service delivery.

  2. Ensure timely feedback, approvals, and access to systems.

  3. Supply licensed materials or third-party assets where required.

  4. Maintain necessary backups unless backup services are included in the contract.

HSxTech is not responsible for delays caused by missing client information or dependencies.


4. Payments & Billing

  • All prices are listed in PKR unless otherwise stated.

  • Payment terms are specified in the proposal or invoice.

  • Late payments may incur service suspension, interest charges, or delays.

  • All customizations, change requests, or additional work beyond the original SOW will be billed separately.

HSxTech reserves the right to revise pricing for renewals, support contracts, or subscription-based services.


5. Project Timelines

Project timelines provided in proposals are estimates.
Timelines may adjust based on:

  • Client response delays

  • Change requests

  • Third-party dependencies

  • Technical/environmental challenges

HSxTech will communicate timeline updates promptly.


6. Intellectual Property

  • All custom-developed modules, code, or tools remain HSxTech’s intellectual property unless expressly transferred.

  • Clients receive a license to use delivered software within their organization.

  • Content provided by the client remains the client’s property.


7. Confidentiality

Both parties agree to keep confidential all non-public business, technical, or financial information exchanged during the engagement.
Confidentiality obligations survive the termination of the Agreement.


8. Data Protection

HSxTech takes reasonable technical and procedural measures to protect client data.
However:

  • Clients are responsible for data backups unless otherwise contracted.

  • HSxTech is not liable for data loss due to client-side actions or third-party system failures.


9. Third-Party Services

Some services (e.g., Odoo apps, hosting, APIs, payment gateways, email providers) rely on third-party platforms.
HSxTech is not responsible for:

  • Third-party downtime

  • Policy changes

  • Price changes

  • Termination or modification of third-party features

Clients are responsible for acquiring licenses and subscriptions unless specified otherwise.


10. Limitation of Liability

To the maximum extent permitted by law:

  • HSxTech is not liable for indirect, incidental, special, or consequential damages.

  • HSxTech’s total liability is limited to the amount paid by the client for the specific service.

We do not guarantee that the Services will be uninterrupted, error-free, or suitable for every business purpose.


11. Warranties

  • HSxTech warrants that services will be performed professionally.

  • No warranty is given for:

    • Third-party software

    • Custom development beyond delivered functionality

    • Issues caused by client modifications or unauthorized access

Bug fixes within 15–30 days of delivery (as per contract) are covered without charge.


12. Support & Maintenance

Support terms depend on the purchased support package.
Unless specified:

  • Support is not included with development work.

  • Support is provided during business hours (Mon–Fri, 9 AM – 6 PM PKT).

Additional or urgent support may incur extra charges.


13. Termination

Either party may terminate the Agreement if:

  • The other party breaches the Terms and fails to remedy within 14 days.

  • The client fails to pay within the agreed timeline.

Upon termination:

  • All outstanding payments become due immediately.

  • Access to HSxTech systems, hosting, or tools may be revoked.


14. Refunds

All payments made to HSxTech are non-refundable, except:

  • Duplicate charges

  • Services not initiated as per agreement

Custom development, consulting, and implementation fees are not refundable under any circumstances.


15. Website Terms & Use

By accessing our website:

  • You agree not to misuse or attack the site.

  • Content may not be copied, reproduced, or redistributed without permission.


16. Amendments

HSxTech may update these Terms anytime.
Continued use of services constitutes acceptance of updated Terms.


17. Governing Law

These Terms are governed by the laws of Pakistan, and any disputes will be handled in the courts of Lahore, Pakistan.
